"Richard
Flask - Commendation for Excellent Service!"
"We
want to commend you for your excellent service to us during the
process of purchasing the business last January. From a buyer's
point of view, we could not have asked for anything more. The
entire process initial contact, due diligence, closing and post
purchase follow up was handled professionally and personably.
We soon learned that we could trust you and the information you
provided to us; and very importantly, that we could count on you
to do what you said you'd do. Your guidance was a major reason
that we had the confidence to take the plunge and make the offer".

when they say go on a business whether it we to sell or buy, you
know it will be a great deal for both parties.

"We would like to express our appreciation for the professional
and diligent manner in which Murphy Business handled the sale
of our business. You were always positive and upbeat and followed
through and did what you said that you would do. Your were prompt
to our meetings and more importantly were a facilitator in our
discussions with potential buyers. You had a good balance in knowing
when to interject and when to allow the principals to establish
a rapport. After we entered into negotiations with a buyer, we
were impressed with your efforts to keep moving the whole process
forward in a timely manner in order to expedite the sale. If we
ever have another business to sell, we would want you to be our
broker".

Mark D. Beasley

"A
must call to make!"
Richard
is the consummate professional when it comes to helping someone
buy or sell a business. I have personally known several business
brokers and Richard is by far the best I have seen. Richard is
right on target with his approach to helping his clients satisfy
their goals and objectives. It doesn't matter whether you are
contemplating the purchase of a business or selling the one you
have, Richard is a must call to make. Do yourself a favor and
give Richard a call to discuss the possibilities. You will be
pleasantly surprised! Mike Maruca of Maruca Financial & Insurance
Services, Inc.

"Richard
Flask - You
Made My Dreams Come True!"
I wanted to take a few moments to express my appreciation for
all you did to make my dream of owning a business become a reality.
As you know, I had been looking for a business for three years
and had limited success finding anything to fit my guidelines.
During that time span, I had solicited the help of several brokers
throughout the Tampa Bay area, but had no luck. Within a matter
of days after contacting you for help, you found the perfect business,
executed a purchase agreement, and the offer was accepted 4 hours
after I signed the documents. Because of the complexity of the
purchase, I know you put forth great effort and overcame several
obstacles to make the deal go through.

HOW
TO PICK A BUSINESS BROKERAGE FIRM
Identifying
excellence in a professional business brokerage firm shouldn't
be difficult. Take, for example, the following criteria:
- Proven
track record of successful business closings
- High closing
ratios
- Ready
access to buyers and sellers, both nationwide and internationally
- Systems
and processes to match buyers and sellers
- Highly
experienced and credentialed professionals
- Unsurpassed
standards of business ethic
- Membership
in all significant industry associations, group listing services,
multiple listing services and brokerage networks
Founded in
1994 by Roger J. Murphy, Murphy Business & Financial Corporation
meets these criteria. As a result, the firm has become one of
the nation's largest and most successful business brokerage
firms, with offices conveniently located throughout the United
States.
Members of
the Murphy team have been carefully recruited and selected for
their high level of achievement as former CEOs, CFOs, CPAs, business
owners and senior level executives in a wide range of industries
and professions. But their accomplishments don't stop with
their prior experience. Associates receive intensive training,
ongoing support and many have subsequently received the highest
awards, credentials and designations in our industry.
We invite
you to learn more about Murphy's approach to the business brokerage
profession. We hope to demonstrate how we provide both clients
and professional partners with the highest standards of professional
service and unmatched performance in the sales of privately held
businesses, mergers, acquisitions, sales and re-sales of franchise
businesses, commercial real estate transactions, business valuations,
machinery & equipment appraisals and business consulting.
The business
owner is an expert at running the business but may not be as knowledgeable
about the selling process. An intermediary will provide the business
owner with strategic information regarding market timing, market
conditions, market price, financing options, structuring the transaction
and other information that is advantageous to the owner.
Facilitator
Procrastination and delay are critical factors when structuring
a deal. Therefore, an intermediary will continually move the process
forward with qualified buyers, financing resources, and ancillary
associations to the deal such as CPAs and attorneys. An intermediary
is in a better position to perform this function than the owner
as he/she is focused on the life cycle of the deal. The owner
will be allowed to focus on operating a profitable business.
Negotiations
Selling a business is often emotional for the business owner.
An intermediary will act on behalf of the owner and will establish
a strong negotiating position without compromising the goodwill
and relationship between the principal parties. An intermediary
will increase the opportunity to receive the best price
for the business.
Resources
An intermediary is a skilled professional in the mergers &
acquisition world and has established relationships with many
professional organizations which are required to complete the
transfer of ownership. These relationships will prove to be extremely
beneficial to the business owner and the buyers.
Confidentiality
An owner could experience disastrous results by leaking
that the business is for sale. Employees, customers, suppliers
and competitors relationships could be damaged causing an adverse
condition hurting the potential sale. An intermediary will preserve
the confidentiality of the selling company during the process
of marketing the business and only share information on a need
to know basis.
Advisory
The business owner is an expert at running the business but may
not be as knowledgeable about the selling process. An intermediary
will provide the business owner with strategic information regarding
market timing, market conditions, market price, financing options,
structuring the transaction and other information that is advantageous
to the owner.

FREQUENTLY
ASKED QUESTIONS:
I'm ready to sell my business. What is the first step?
Answer:
The decision to sell is an important one and preparation
is required before placing your business on the market. The
company's financial records and business operations must
be evaluated and analyzed to determine the strengths and weaknesses
of the company. A Business Valuation and a Market Analysis will
provide you with the necessary information used to determine
asking price, deal structure as well as identify potential buyers.
Murphy Business Associates will prepare your business for sale
and help you maximize your market potential.
How do I determine what my business is worth?
Answer:
To determine the price of a business, the owner will
need a Business Valuation. A Business Valuation is an appraisal
or determination of the value of the business or property based
on current and historical data and establishes Fair Market
Value. Murphy Business would strongly urge any seller
considering the sale of their business or buyer considering
the purchase of an existing business to use a Certified Business
Valuation as the criteria to establish a purchase or market
price.
How long does it take in order to sell my business?
Answer:
Business transactions can happen quickly or they may
take over a year before the buyer is located. The average transaction
takes anywhere from 4 to 6 months. The key factors in the amount
of time are pricing the business appropriately, aggressive marketing,
having access to an abundance of buyers and ending sources who
have approved the financing. Your Murphy Business Associate
is a skilled Business Intermediary and will advise you in all
aspects of these matters.
How do you find a buyer?
Answer:
Murphy Business is a National Organization having access
to a large number of buyers. We market our listings in the appropriate
media to generate buyer activity. We also search by industry
and associated industries to stimulate buyer activity. The largest
source of buyers happens to be our own Murphy Business network
of brokers. Our goal is to locate qualified buyers who have
determined a genuine interest, are willing to pay market value
and are aspired to move quickly.
How do I pick a broker?
Answer:
We recommend that you interview as many intermediaries
as necessary to find the person that fits your needs. Things
to consider: Look for certifications: Professionals educate
themselves on the finer matters of the profession. Ask for referrals:
While we work confidentially, the broker should provide professional
referrals national or local. Look for a broker who is on top
of the local market but has national access through the organization
he/she is associated with. Each individual at Murphy Business
and Financial Corporation is a professional. Our associates
have previously held CEO, CFO, VP or Director level executive
positions or are former business owners. We believe our experience
and professionalism differentiates us and allows us to provide
the highest level of services to our clients whether
they are buying or selling a business.

What
Is Franchising?
The evolution of franchising can be traced
back to the 1850s, but franchising as we understand
it today started in the 1950s and has reached
almost mythical stature over the last fifty
years. A new franchise opens every 8 minutes
of every business day and drives over 40%
of all retail business. Annually, franchising
accounts for over $800 Billion in sales, and
employs over 8 Million people. Franchises
are the most successful businesses on the
planet with over 95% success rate and at the
same time creating over 170,000 new jobs per
year.
Who
Buys Franchises?
The majority of franchise buyers are success-oriented,
educated, family minded, corporate people.
As corporations switched their focus from
employees to investors, they realized how
expensive their senior level employee had
become and they began down-sizing their mid
and upper level managers to save money and
improve investor stakes in their companies.
This growing number of outstanding corporate
managers are now the driving force behind
franchising and represent a constant stream
of qualified franchise buyers through Murphy
offices.
The
Franchise Buyer
A 25 year study conducted by the International
Franchise Association pinpointed the "Typical
Franchise Buyer". Franchise buyers will
come from all walks of life, educational and
economic backgrounds, but some of the typical
qualifications are:
- Between
35 and 55 years old
-
Corporate Management Background
-
Income Avg. $80 to 150K
-
Net Worth of $300 to $800K
-
Majority Have IRA/401K Retirement Plans
-
Men, Couples, Women in that order
-
Most Have Not Owned a Business
-
Want to Build a Business That Will Allow
Them To Retire
-
Looking For On-going Marketing, Training
and Support
These are the same outstanding clients that
come to Murphy offices seeking to buy their
own businesses.
Murphy
Franchise System
The Murphy Franchise organization is lead
by Tom Miller, Executive Vice President of
Murphy Business and Financial Corporation.
He is a 25 year veteran of franchising and
the recognized authority on franchising in
the business brokerage community. All Murphy
Franchise Consultants are highly trained and
experienced in all aspects of franchising,
and have owned, managed and sold franchises
for many years before joining Murphy. There
are a few thousand franchises available but
Murphy Franchising is associated with only

for each of our Murphy clients.

this unique Murphy Business service helps
us sell a business faster and for more money.

We

with potential buyers in stages only as their
level of interest heightens. We do not disclose
confidential information without a signed
Confidentiality Agreement and work toward
full disclosure with either an Offer to Purchase
or a Letter of Intent.
We
will use our banking contacts to assist the
buyer in arranging financing. This includes
traditional financing or SBA small business
loans. By doing this we can also help to minimize
the amount of seller financing, if any, needed.
Listing
your business is only the first step in selling
a business. We'll be with you to guide and
assist throughout the entire process including

Irvine
is an incorporated city in Orange County,
California, United States. It is a planned
city, mainly developed by the Irvine Company
since the 1960s. Formally incorporated on
December 28, 1971, the 69.7 square mile
(180.5 km²)
city has a population
of about 209,806 (as of January 1, 2008).
It has annexed in the past an undeveloped
area to the north, and has also annexed
the former El Toro Marine Corps Air Station,
most of which is planned to be converted
into the Orange County Great Park.
Because
of its good schools, jobs and housing, the
city was chosen in 2008 by CNNMoney.com
as the fourth best place to live in the
United States. In June 2008, the Federal
Bureau of Investigation reported that Irvine
had the lowest violent crime rate (four
homicides, 17 rapes, 50 robberies and 55
aggravated assaults in 2006) among cities
in the United States with populations of
more than 100,000, and in August 2008 the
Census Bureau ranked Irvine as having the
seventh highest median income among cities
in the United States with populations of
more than 65,000.
Irvine
is home to the University of California,
Irvine (UCI), Concordia University, the
Orange County Center of the University of
Southern California, and the Irvine campuses
of Alliant International University, California
State University Fullerton, and Pepperdine
University. Irvine Valley College, a community
college, is also located in the city.
Irvine
is home to a number of corporations, particularly
in the technology sector.
A
planned city
The
layout of Irvine was designed by Los Angeles
architect William Pereira and Irvine Company
employee Raymond Watson, and is nominally
divided into townships called villages.
The townships are separated by six-lane
streets. Each township contains houses of
similar design, along with commercial centers,
religious institutions and schools. Commercial
districts are checker-boarded in a periphery
around the central townships.
Pereira
originally envisioned an Atlantis-like circular
plan with numerous man-made lakes and the
university in the center. When the Irvine
Company refused to relinquish valuable farmland
in the flat central region of the ranch
for this plan, the University site was moved
to the base of the southern coastal hills.
The design that ended up being used was
based on the shape of a necklace (with the
villages strung along two parallel main
streets, which terminate at University of
California, Irvine (UCI), the "pendant")
. Traces of the original
circular design are visible in the layout
of the UCI campus and the two man-made lakes
at the center of Woodbridge, one of the
central villages.
All
streets have landscaping allowances. Rights-of-way
for powerlines also serve as bicycle corridors,
parks and greenbelts to tie together ecological
preserves. The greenery is irrigated with
reclaimed water.
The
homeowners' associations which govern some
village neighborhoods exercise varying degrees
of control on the appearances of homes.
In more restrictive areas, houses' roofing,
paint colors, and landscaping are regulated.
Older parts of the Village of Northwood
that were developed beginning in the early
1970s independent of the Irvine Company,
have the distinction of being a larger village
that is not under the purview of a homeowners'
association. As a result, homeowners in
the older Northwood areas do not pay a monthly
village association fee; and its neighborhoods
are generally not as uniform in appearance
as those in other villages such as West
Park and Woodbridge, the latter which, however,
generally offer more amenities such as members-only
swimming pools, tennis courts, and parks.
In
addition to association dues, homeowners
in villages developed in the 1980s and later
may be levied a Mello-Roos assessment, which
came about in the post-Proposition 13 era.
For homeowners in these areas, the association
dues coupled with the Mello-Roos assessment
may add significantly to the cost of living
in the city.
The
Irvine Ranch played host to the Boy Scouts
of America's 1953 National Scout Jamboree.
Jamboree Road, a major street which now
stretches from Newport Beach to the City
of Orange, was named in honor of this event.

ABOUT ORANGE
COUNTY: |
 |
Orange County is a county in Southern California,
United States. Its county seat is Santa Ana. According
to the 2000 Census, its population was 2,846,289,
making it the second most populous county in the
state of California, and the fifth most populous
in the United States. The state of California estimates
its population as of 2007 to be 3,098,121 people,
dropping its rank to third, behind San Diego County.
Thirty-four incorporated cities are located in Orange
County; the newest is Aliso Viejo.
Unlike many other large centers of population in
the United States, Orange County uses its county
name as its source of identification whereas other
places in the country are identified by the large
city that is closest to them. This is because there
is no defined center to Orange County like there
is in other areas which have one distinct large
city. Five Orange County cities have populations
exceeding 170,000 while no cities in the county
have populations surpassing 360,000. Seven of these
cities are among the 200 largest cities in the United
States.
Orange County is also famous as a tourist destination,
as the county is home to such attractions as Disneyland
and Knott's Berry Farm, as well as sandy beaches
for swimming and surfing, yacht harbors for sailing
and pleasure boating, and extensive area devoted
to parks and open space for golf, tennis, hiking,
kayaking, cycling, skateboarding, and other outdoor
recreation. It is at the center of Southern California's
Tech Coast, with Irvine being the primary business
hub.
The average price of a home in Orange County is
$541,000. Orange County is the home of a vast number
of major industries and service organizations. As
an integral part of the second largest market in
America, this highly diversified region has become
a Mecca for talented individuals in virtually every
field imaginable. Indeed the colorful pageant of
human history continues to unfold here; for perhaps
in no other place on earth is there an environment
more conducive to innovative thinking, creativity
and growth than this exciting, sun bathed valley
stretching between the mountains and the sea in
Orange County.
Orange County was Created March 11 1889, from part
of Los Angeles County, and, according to tradition,
so named because of the flourishing orange culture.
Orange, however, was and is a commonplace name in
the United States, used originally in honor of the
Prince of Orange, son-in-law of King George II of
England.
